Of the 42% Citadel Capital Partners holds, 40 percentage points are subject to lock-up under the firm’s Management Agreement with Citadel Capital Partners, while 2 percentage points were acquired after the listing in December 2009 and could be returned to the market at any time. Long-term investors — including board members, other senior employees and shareholders owning more than 0.5% — account for 30% of Citadel Capital shareholders, while approximately 28% is in free float.

A. Citadel Capital’s Board consists of 13 members, six of whom are executive members and the rest of whom are external, non-executive members. The firm maintains this structure to comply with best practices in corporate governance. The Board of Directors has also formed an Audit Committee and a Benefits and Compensation Committee, each of which is composed primarily of non-executive members to ensure checks and balances and to align the interests of management and shareholders.

A. Citadel Capital does not guarantee any debt at the platform or portfolio levels. Each Platform or Portfolio Company stands on its own feet.

Q. Does Citadel Capital maintain control over its 18 Platform Companies? If so, how can Citadel Capital be “hands-on” with all of them?
A. Citadel Capital is a control investor and maintains control of its investments by appointing the management teams at each of its Platform Companies. The firm closely monitors performance on a regular basis and appoints multiple board representatives, audit committee members and compensation committee members who are not necessarily members of the executive committee of Citadel Capital.
